Job Description


Paralegal who works with a minimum of supervision to perform corporate secretary recordkeeping functions (including corporate books and annual report record keeping), draft and circulate corporate resolutions, maintain up to date corporate entity and licensure filings, and maintain current corporate organization charts.




  • High School Diploma and Paralegal Certification required; College Degree Preferred.

  • Minimum of three (3) years of experience in law firm or company setting performing attorney support and corporate secretary/books and records related legal tasks

  • Substantial experience with corporate organization chart structure and updating.

  • Substantial experience with drafting corporate resolutions (C-Corp, S-Corp, LLC, LLP, etc.), including but not limited to authorizing resolutions, unanimous consent resolutions, standard board slate resolutions, Officer/Director addition/removal resolutions, etc.

  • Substantial experience with the completion and processing of corporate filings and licensing matters; hospital/healthcare entity filings/licensure preferred.
