The Assistant General Counsel-Real Estate and Development provides real estate legal support for all units of the Company. The AGC-RE and D handles all legal matters involving both a robust commercial real estate portfolio (land, warehouse, commercial, office, residential) and a hospital/medical office building/ancillary healthcare facility portfolio. On a day to day basis, the AGC-RE and D is responsible for overseeing a wide variety of real estate transactions including office building lease administration, acquisitions/divestures, unlawful detainer actions and all other real estate matters required by the company. This attorney must be able to provide advice and counsel on lease interpretation and real estate related legal issues in both the commercial real estate arena and the healthcare industry. This position involves substantial document drafting and review, and close coordination with business unit operators and Senior Management. This attorney will supervise an in-house real estate paralegal.



  1. At least three (3) years’ experience handling all aspects of commercial real estate transactions.
  2. Substantial experience drafting lease documents, including but not limited to letters of intent, lease templates, estoppel certificates, lease amendments, SNDAs and notices.
  3. Experience providing advice and counsel to corporate management regarding lease administration and lease interpretation.
  4. Experience handling construction, Landlord/Tenant, collection and eviction matters.
  5. Experience drafting and interpreting real estate acquisition documents (purchase agreements, title policies, endorsements, Phase I reports)
  6. Working knowledge of applicable laws and regulations governing lease agreements within the healthcare industry (especially with respect to Medical Office Building leases) including, but not limited to, Stark Law and the Anti-Kickback Statute.
  7. Knowledge of 1031 exchanges.
  8. Understanding of other property related issues (lot line adjustments, entitlements, replats, and parcel maps)
